In the event of any discrepancy, contradiction, or difference in interpretation between the French version and the English version, the <strong>French version shall prevail<\/strong> and be the only legally binding version.<\/em><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">PART 1: TERMS OF USE (TOU)<\/h2>\n\n\n\n<p><strong>Last updated:<\/strong> 02\/11\/2026<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 1 \u2013 LEGAL IDENTITY<\/h3>\n\n\n\n<p>Cella-AI is published by:<\/p>\n\n\n\n<p><strong>Cella AI<\/strong><\/p>\n\n\n\n<p>is published by: Cella AI Legal <\/p>\n\n\n\n<p>Form: SAS (Simplified Joint-Stock Company) in the process of formation<\/p>\n\n\n\n<p>Share Capital: Pending registration \u20ac<\/p>\n\n\n\n<p>Registration: Pending registration \u2013 Trade and Companies Register <\/p>\n\n\n\n<p>Headquarters: Pending , France<\/p>\n\n\n\n<p>Contact Email: contact@cella-ai.eu<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 2 \u2013 PURPOSE OF THE SERVICE<\/h3>\n\n\n\n<p>Cella-AI is a digital platform allowing a User to create a memory sanctuary assisted by Artificial Intelligence, intended to transmit memories, messages, and emotional content to loved ones.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 3 \u2013 ESSENTIAL WARNING \u2013 NO TESTAMENTARY VALUE<\/h3>\n\n\n\n<p>\u26a0\ufe0f <strong>Cella-AI does not constitute a last will, testament, codicil, or estate planning document.<\/strong><\/p>\n\n\n\n<p>The contents deposited on the platform:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Have no legal value under Civil Law;<\/li>\n\n\n\n<li>Do not replace a notary or legal counsel;<\/li>\n\n\n\n<li>Cannot be used to organize an inheritance or estate distribution.For any patrimonial or estate decisions, the User must consult a legal professional.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 4 \u2013 ACCEPTANCE<\/h3>\n\n\n\n<p>Registration and use of the Service imply full and unreserved acceptance of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>These Terms of Use (TOU),<\/li>\n\n\n\n<li>The Terms of Sale (TOS),<\/li>\n\n\n\n<li>The Privacy Policy.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 5 \u2013 EXPERIMENTAL PHASE<\/h3>\n\n\n\n<p>The Service may be in an evolutionary or experimental phase (Beta).<\/p>\n\n\n\n<p>Certain features (notably full Zero-Knowledge encryption) may be under deployment.<\/p>\n\n\n\n<p>The User accepts the risks inherent to innovative technology.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 6 \u2013 TECHNICAL ARCHITECTURE AND TRANSMITTER ROLE<\/h3>\n\n\n\n<p>Cella-AI acts as a <strong>secure technical transmitter<\/strong>.<\/p>\n\n\n\n<p>The data:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Is encrypted at rest;<\/li>\n\n\n\n<li>May be temporarily decrypted in Random Access Memory (RAM) for AI interaction;<\/li>\n\n\n\n<li>Is transmitted via a secure channel to partner APIs (e.g., OpenAI, Mistral).Cella-AI does not control third-party algorithms and <strong>does not guarantee<\/strong>:<\/li>\n\n\n\n<li>The accuracy of responses;<\/li>\n\n\n\n<li>The absence of &#8220;hallucinations&#8221; (errors generated by AI);<\/li>\n\n\n\n<li>The emotional relevance of the content generated.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 7 \u2013 DATA LIFECYCLE<\/h3>\n\n\n\n<p><strong>7.1 Active Period (Hot Storage)<\/strong><\/p>\n\n\n\n<p>During the 30 days included in the Packs, or during an active subscription, data is accessible for modification and AI interaction.<\/p>\n\n\n\n<p><strong>7.2 Cold Archiving (Cold Storage)<\/strong><\/p>\n\n\n\n<p>In the absence of renewal\/subscription:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Data switches to secure cold archiving;<\/li>\n\n\n\n<li>AI interaction is suspended.Reactivation is possible via a Pass or Subscription. Maximum technical delay for restoration: 24 hours.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 8 \u2013 LIABILITY<\/h3>\n\n\n\n<p>The Service is provided &#8220;as is&#8221;. Cella-AI shall not be held liable in the event of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Loss of password or private key by the User (rendering data unrecoverable);<\/li>\n\n\n\n<li>Host failure (e.g., OVH);<\/li>\n\n\n\n<li>Third-party AI incident;<\/li>\n\n\n\n<li>Indirect or moral damages;<\/li>\n\n\n\n<li>Emotional interpretation of contents by loved ones.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 9 \u2013 POST-MORTEM ACCESS AND TRANSMISSION<\/h3>\n\n\n\n<p><strong>9.1 Activation<\/strong><\/p>\n\n\n\n<p>Activation is conditioned upon receipt of a formal proof of death (Death Certificate or official medical certificate).<\/p>\n\n\n\n<p><strong>9.2 Notification (Best Effort Basis)<\/strong><\/p>\n\n\n\n<p>Cella-AI attempts to notify the designated Recipients via the contact details provided. No additional genealogical research is performed. This is an <strong>obligation of means<\/strong>, not of result.<\/p>\n\n\n\n<p><strong>9.3 Responsibility for Contact Details<\/strong><\/p>\n\n\n\n<p>The User is solely responsible for their accuracy. Cella-AI bears no liability in case of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Incorrect email;<\/li>\n\n\n\n<li>Spam filtering;<\/li>\n\n\n\n<li>Obsolete phone number;<\/li>\n\n\n\n<li>Refusal by the recipient.<\/li>\n<\/ul>\n\n\n\n<p><strong>9.4 Retention Period \u2013 30 Days (Guillotine Clause)<\/strong><\/p>\n\n\n\n<p>In case of notification failure or lack of response:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Data is retained for a maximum of <strong>30 days<\/strong>;<\/li>\n\n\n\n<li>After this period, data is definitively deleted (destruction of encryption keys).No claims will be admissible after deletion.<\/li>\n<\/ul>\n\n\n\n<p><strong>9.5 Recipient Access<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Read-only:<\/strong> Free.<\/li>\n\n\n\n<li><strong>AI Interaction:<\/strong> Paid subscription required.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 10 \u2013 DISPUTES<\/h3>\n\n\n\n<p><strong>10.1 Applicable Law:<\/strong> French Law.<\/p>\n\n\n\n<p><strong>10.2 Mediation:<\/strong> In the event of a dispute, the User may have recourse to consumer mediation.<\/p>\n\n\n\n<p><strong>10.3 Jurisdiction:<\/strong> Exclusive jurisdiction of the courts of Cella-AI&#8217;s headquarters.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">PART 2: TERMS OF SALE (TOS)<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 1 \u2013 &#8220;SEAL PACK&#8221; OFFERS (One-time payment)<\/h3>\n\n\n\n<p><strong>1. VAT)<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Storage: 1 GB<\/li>\n\n\n\n<li>Redundancy: Priority Triple<\/li>\n\n\n\n<li>Priority Support<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 2 \u2013 AI QUOTAS<\/h3>\n\n\n\n<p>Limit of <strong>20 million tokens\/month<\/strong>.<\/p>\n\n\n\n<p>Exceeding this limit results in suspension of AI features until renewal.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 3 \u2013 DYNAMIC PRICING<\/h3>\n\n\n\n<p>Prices may evolve based on technological costs.<\/p>\n\n\n\n<p>The price paid at the order is firm and final for that order. Modifications may apply to renewals, with a 30-day notice.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">ARTICLE 4 \u2013 TIME CAPSULE<\/h3>\n\n\n\n<p><strong>4.1 Description<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Message of 500 characters maximum.<\/li>\n\n\n\n<li>Price: 9.90 \u20ac (Incl.
